Cornerstone Web Company | Terms of Service

1. Acceptance of Terms & Service Definition

By accessing, browsing, or subscribing to the services provided by Cornerstone Web Company ("Company," "we," "us," or "our"), you ("Client," "you," "User") agree to be bound by these Terms of Service. Cornerstone Web Company provides a Proprietary Managed Web Suite—a closed-ecosystem digital product that integrates professional design, high-speed hosting, and ongoing technical management.
 

2. The Managed Ecosystem & Non-Transferability

  • Proprietary Framework: All websites are engineered and deployed within the Company’s proprietary HTML5 framework and private server infrastructure. This is not an open-source platform (such as WordPress).
  • Non-Transferability of Code: To maintain the security, speed, and architectural integrity of our network, the underlying source code, CSS, server-side configurations, and proprietary tools are non-transferable.
  • No Export Rights: Upon cancellation or termination, the Company does not provide site "exports," database dumps, or files for migration to third-party hosting providers (e.g., Wix, GoDaddy, Bluehost). Your subscription grants a license to use the suite; it does not constitute a sale of the underlying software or code.
     

3. Subscription Tiers & Feature Eligibility

  • Current Market Rate: The standard Managed Suite is currently billed at $199.00 per month.
  • Legacy Plan Restrictions: Clients currently grandfathered into legacy pricing plans (any rate below $199.00/mo) are entitled only to the core hosting and maintenance services active at the time of their original signup.
  • Premium Feature Exclusion: New "Bonus" or "Premium" features—including but not limited to Automated Reputation Management, Advanced Local SEO Schema, and Priority Concierge Support—are strictly reserved for clients on the current $199/mo plan.
  • Upgrading: Legacy clients may opt-in to the current $199/mo rate at any time to unlock all modern suite features.
     

4. Domain Policy & Asset Ownership

  • Client Assets: You retain 100% legal ownership of all Client-provided branding, logos, text copy, and original photography.
  • Domain Ownership: You retain full legal ownership of your domain name.
  • Domain Management: If the Company registers a standard domain for you, we manage the renewal as a courtesy. If you provide your own domain via a third-party registrar, you remain solely responsible for its renewal fees and security.
     

5. Payment, Late Fees, & Service Termination

  • Recurring Billing: All fees are billed automatically via Stripe. You authorize the Company to charge your card on file on a recurring monthly basis.
  • Default & Suspension: Accounts that remain unpaid for seven (7) calendar days will be automatically suspended. The website will be taken offline, and a "Service Suspended" notice may be displayed.
  • Permanent Deletion: Accounts that remain unpaid for fourteen (14) calendar days will be terminated. All website data, configurations, and custom settings will be purged from our active production servers.
  • Restoration & Reactivation: The Company is under no obligation to maintain data for terminated accounts. Should restoration be possible, a Reactivation Fee of $499.00 will apply in addition to all past-due balances.
     

6. Concierge Support & Scope of Work

The $199/mo plan includes "Managed Small Content Updates" to ensure your site remains accurate.
  • Included (In-Scope): Minor text edits, swapping existing images, updating business hours, and formatting provided blog posts.
  • Excluded (Out-of-Scope): Full-page redesigns, new page creation ($100 per page fee applies), custom API development, or structural changes to the site’s navigation. These requests will be quoted as separate "Project Expansions."
     

7. Intellectual Property & Portfolio Rights

The Company retains all rights, titles, and interests in the technical framework and design patterns used. The Client grants the Company a non-exclusive license to display the completed website in our portfolio, marketing materials, and case studies.
 

8. Disclaimer of Warranties & SEO

The Company provides services on an "as-is" and "as-available" basis. While we utilize 30+ years of technical expertise to optimize for search engines, we do not—and cannot—guarantee specific search rankings or traffic volume, as these are controlled by third-party algorithms (Google, Bing).
 

9. Limitation of Liability

To the maximum extent permitted by the laws of the State of Maryland, Cornerstone Web Company’s total liability for any claim, loss, or damage arising out of this agreement shall be limited to the total amount paid by the Client to the Company during the three (3) months immediately preceding the event giving rise to the claim. We are not liable for lost profits, lost data, or business interruptions.
 

10. Indemnification

You agree to indemnify, defend, and hold harmless Cornerstone Web Company from any and all third-party claims, liabilities, or expenses (including legal fees) arising from the content you provide or your violation of these Terms.
 

11. Cancellation Policy

Either party may terminate this agreement with thirty (30) days’ written notice. Service will continue through the end of the final paid billing cycle, after which the site will be permanently decommissioned.
 

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland. You agree that any legal action or proceeding shall be brought exclusively in the courts of Cecil County, Maryland. Both parties agree to attempt good-faith negotiation for 30 days prior to initiating any legal action.
 

13. Legacy & Foundational Service Tiers

Clients enrolled in retired or "Legacy Foundation" plans (including the Managed Growth Plan Lite) acknowledge these tiers are restricted to foundational hosting and maintenance only. These plans specifically exclude modern Growth Suite features such as Google Business Profile syncing, automated Reputation Management, and advanced SEO strategy. Service requests for Legacy plans are processed within a 48-hour window. Cornerstone Web Company reserves the right to migrate accounts to current service tiers should the technical requirements of the site exceed the foundational scope of the legacy plan.
